PRICING AND SUBSCRIPTION POLICY
PARTIES
This agreement is entered into between UR Work Yazılım ve Ticaret Ltd. Şti., address: Esentepe Mah. Keskin Kalem Sok. Arya Plaza No:17/2, Şişli, Istanbul 34394 ("Service Provider") and the natural or legal person using the Platform ("User" or "Customer").
1. FREE TRIAL
UR Work offers new users a 14-day free trial. At the end of the trial period, if the customer does not cancel the subscription before the trial expires:
- •the subscription begins.
- •an invoice is generated.
2. BILLING PERIOD
The billing period is one calendar month unless otherwise specified in the subscription agreement.
3. INVOICE GENERATION
Invoices may be generated no more than three (3) days before the start of the new billing period.
4. PAYMENT TERMS
Payment must be made within fourteen (14) days from the invoice date; unless otherwise specified, the payment period is 14 days.
5. Active User Definition
An active user is any user account that has access to the system during the billing period. Users who are deactivated or removed from the system are not counted as active users after being deactivated.
6. Maximum Active User Rule
Billing is calculated based on the highest number of active users recorded in the relevant billing period.
7. USER REPLACEMENT
When a user is deactivated and replaced by another user, and the total number of users does not change, the billing count does not change.
8. ADDITIONAL USERS
If the number of users specified in the subscription is exceeded, additional users are billed as monthly overage. This billing is calculated on a per-user price basis.
9. STARTED BILLING MONTH RULE
The billing month in which a user account is activated is calculated as a full billing month.
10. CONTRACT ALIGNMENT FOR ADDITIONAL MODULES
If a customer with an annual prepaid subscription adds a new module with an annual plan:
Adding with Annual Plan
- •the new module is only valid for the remaining term of the current subscription
- •the end date of the new module coincides with the end date of the current agreement.
Purchasing with Monthly Plan
If the new module is purchased with a monthly plan:
- •it is billed monthly
- •however, the contract end date remains aligned with the main subscription.
11. PACKAGE DISCOUNT UPDATE
If a module is removed from a subscription package:
- •the existing package discount may be removed
- •pricing may revert to the standard module price.
12. ANNUAL PREPAYMENT POLICY
Annually prepaid subscriptions are non-refundable. The subscription remains active until the end of the prepaid subscription period.
13. MINIMUM MODULE REQUIREMENT
At least one active module must be present for continued access to the UR Work platform.
14. NON-PAYMENT POLICY
If payment is not made within 14 days from the invoice date, UR Work has the right to suspend platform access.
15. TERMINATION DUE TO NON-PAYMENT
If payment is not made within 30 days from the invoice date, UR Work has the right to terminate the subscription.
16. AUTOMATIC RENEWAL (REGISTERED PAYMENT METHOD)
If the customer has a registered payment method (e.g. credit card):
- •the subscription may be automatically renewed
- •the new period fee may be automatically charged.
- •Automatic renewal only applies when a registered payment method is present.
