DISTANCE SALES AND SUBSCRIPTION SERVICE AGREEMENT

PARTIES

This agreement is entered into between UR Work Yazılım ve Ticaret Ltd. Şti., address: Esentepe Mah. Keskin Kalem Sok. Arya Plaza No:17/2, Şişli, Istanbul 34394 ("Service Provider") and the natural or legal person using the Platform ("User" or "Customer").

1. SUBJECT OF THE AGREEMENT

The subject of this agreement is to determine the terms for providing the UR Work web and mobile-based software platform developed by the Service Provider to the Customer on a subscription model. The UR Work platform may include the following modules:

• •PDKS (Personnel Attendance Control System)
• •Shift (Shift Management)
• •Fleet (Vehicle / Fleet Management)

2. SUBSCRIPTION AND TRIAL PERIOD

UR Work may offer new users a 14-day free trial. The platform is cloud-based and accessible via the internet. At the end of the trial period:

• •the subscription starts automatically
• •an invoice is generated for the relevant service
• •The Customer may cancel the subscription before the trial period expires.

3. ORDER AND SUBSCRIPTION INFORMATION

The Customer creates a subscription by selecting the following information on the platform:

• •selected modules
• •number of users
• •number of vehicles (if applicable)
• •subscription type
• •payment plan
• •This information is displayed to the Customer on the order summary screen and is considered an integral part of the agreement.

4. PRICING

The service is provided on a subscription model. Pricing is determined according to selected modules, number of users, and subscription plan. Current pricing is specified on the UR Work pricing page or in offer documents.

5. BILLING

Invoices may be generated no more than three (3) days before the start of the new billing period. The invoice is sent to the Customer's registered email address.

6. PAYMENT PERIOD

The Customer agrees to pay the invoice within 14 days from the invoice date.

7. PAYMENT DEFAULT

From the invoice date:

• •If payment is not made within 14 days, the Service Provider has the right to suspend platform access.
• •If payment is not made within 30 days, the Service Provider has the right to unilaterally terminate the agreement.

8. BILLING BASED ON NUMBER OF USERS

For user-based modules, billing may be based on the highest number of active users recorded in the relevant billing period.

9. MODULE ADDITIONS

The Customer may add new modules while the subscription continues. In annual subscriptions, the new module applies for the remaining term of the current agreement.

10. TERM OF THE AGREEMENT

This agreement enters into force upon the Customer creating a subscription on the UR Work platform. The agreement remains in force for the duration of the subscription plan selected by the Customer. The subscription may be automatically renewed unless cancelled.

11. RIGHT OF WITHDRAWAL

Individual users have the right of withdrawal within 14 days from the establishment of the agreement. Withdrawal notification may be made by email or in writing. The right of withdrawal is not valid for legal entities.

12. DATA PROCESSING

Processing of personal data is subject to KVKK (Turkish Data Protection Law) and Privacy Notice provisions. The Customer is responsible for the legal compliance of data uploaded to the system.

13. INTELLECTUAL PROPERTY

All intellectual property rights related to the UR Work platform and software belong to the Service Provider. The User may only use the software within the scope of the service.

14. ELECTRONIC ACCEPTANCE

The Customer is deemed to have accepted this agreement electronically by checking the relevant checkboxes when creating a subscription on the platform. This acceptance has the same legal effect as a written signature.

15. JURISDICTION

This agreement is subject to the laws of the Republic of Turkey. Istanbul Courts and Enforcement Offices are authorized for disputes.
